The board of directors of Kam Hing International Holdings Limited announced that, with effect from 1 December 2016, Mr. Chan Yuk Tong, Jimmy has resigned as an independent non-executive Director, the chairman of Audit Committee, a member of Remuneration Committee and a member of Nomination Committee; and Mr. Wu Tak Lung, Bernard has been appointed as an independent non-executive Director, the chairman of Audit Committee, a member of Remuneration Committee and a member of Nomination Committee. The Board announced that with effect from 1 December 2016, Mr. Chan Yuk Tong, Jimmy has resigned as an independent non-executive Director, the chairman of the Audit Committee, a member of Remuneration Committee and a member of Nomination Committee of the Company. Mr. Chan has confirmed that he has no disagreement with the Board and that there are no matters in relation to his resignation that need to be brought to the attention of the shareholders of the Company. The Board announced that with effect from 1 December 2016, Mr. Wu Tak Lung, Bernard has been appointed as an independent non-executive Director, the chairman of Audit Committee, a member of Remuneration Committee and a member of Nomination Committee of the Company. Mr. Wu, is a member of Hong Kong Institute of Certified Public Accountants. Mr. Wu currently served as an independent non-executive director of Beijing Media Corporation Limited, Sinomax Group Limited, China Machinery Engineering Corporation and Huarong Investment Stock Corporation Limited, all are listed public companies in Hong Kong, and First Tractor Company Limited. In addition, Mr. Wu is appointed as Member of the Jiangsu Provisional Committee of the Chinese People’s Political Consultative Committee, Honorary Court Member of Hong Kong Baptist University, Honorary President of North Kwai Chung District Scout Council of Scout Association of Hong Kong and Vice-chairman of Hong Kong-GuangDong Youth Exchange Promotion Association. He is also a past Chairman of the Association of Chartered Certified Accountants and a Past President of the Taxation Institute of Hong Kong.
