Sadhu Ram Aggarwal, Udit Aggarwal, Divya Aggarwal, Ridhima Aggarwal, Rahul Aggarwal, Manjula Aggarwal and CMV informatics Private limited signed a share purchase agreement to acquire 71.34% stake of Jindal Capital Limited from Pawan Kumar Jindal, Sarita Agarwal, Shray Jindal, Pawan Kumar Jindal HUF and PKJ Securities Pvt Ltd for INR 46.3 million.

Sadhu Ram Aggarwal, Udit Aggarwal, Divya Aggarwal, Ridhima Aggarwal, Rahul Aggarwal, Manjula Aggarwal and CMV informatics Private limited signed a share purchase agreement to acquire 71.34% stake of Jindal Capital Limited (BSE:530405) from Pawan Kumar Jindal, Sarita Agarwal, Shray Jindal, Pawan Kumar Jindal HUF and PKJ Securities Pvt Ltd for INR 46.3 million on November 27, 2020. In a related transaction, Sadhu Ram Aggarwal, Udit Aggarwal, Divya Aggarwal, Ridhima Aggarwal, Rahul Aggarwal, Manjula Aggarwal and CMV informatics Private limited made an offer to acquire 26% stake in Jindal Capital Limited for INR 16.9 million. As part of the agreement, 5.14 million shares will be acquired in cash.

Sadhu Ram Aggarwal, Rahul Aggarwal, Udit Aggarwal will acquire 0.7 million shares, representing 9.71% stake each, Divya Aggarwal and Ridhima Aggarwal will acquire 0.6 million shares representing 8.32% stake each, Manjula Aggarwal will acquire 0.9 million shares, representing 12.49% stake and CMV informatics will acquire 0.94 million shares representing 13.08% stake of Jindal Capital. Pawan Kumar, Sarita Aggarwal, Shray Jindal, Pawan Kumar Jindal HUF and PKJ Securities will sell 6.78% stake, 20.47% stake, 13.54% stake, 16.61% stake and 13.94% stake respectively. As a result of the acquisition, group of sellers will hold no shares in Jindal Capital.
