Subject: Notification regarding the litigation case of JCK Utilities Company Limited, the subsidiary of the Company and the Buyer

JCK International Public Company Limited ("the Company") would like to inform regarding the significant litigation case of JCK Utilities Company Limited, the subsidiary of the Company as follows:

On October 12, 2020, JCK Utilities Company Limited ("JCKU"), the subsidiary of the Company has entered into the sale and purchase agreement for land and factory buildings at Green Park 1 Project with the Buyer. The payment terms of such assets shall be in installments and the access to the area shall be as agreed, whereby JCKU will transfer the ownership to the Buyer upon receiving full payment. Later, the Buyer is unable to pay the installment as schedule and does not comply to the sale and purchase agreement. As a result, JCKU has issued the letter to terminate the sale and purchase agreement and requested the Buyer to deliver the assets back to JCKU within the specified period.

Subsequently, on February 4, 2022, the Buyer has filed a lawsuit against JCKU to the Bangkok South Civil Court demanding to revoke the sale and purchase agreement, refund the deposit and payment for land, and a claim of Baht 190.68 million for damages. On May 25, 2022, JCKU has filed a testimony and counterclaim and claim a damage against the Buyer in the amount of Baht 390.53 million. The process is currently under the consideration of the Bangkok South Civil Court. The hearing for such case is scheduled on July 25, 2022. If there be any further progress related to this case, the Company will promptly report.
