On August 24, 2015, the Board of Directors of Jason Industries, Inc. increased the size of the Board from nine members to eleven members, effective September 1, 2015, and elected Mitchell I. Quain and James E. Hyman as new directors to fill the vacancies created by such increase. Mr. Quain will serve as a class II director with a term expiring at the company's 2016 annual meeting of stockholders and Mr. Hyman will serve as a class III director with a term expiring at the company's 2017 annual meeting of stockholders. On October 28, 2015, the Board appointed Mr. Quain to the Board's Compensation Committee and Mr. Hyman to its Corporate Governance and Nominating Committee, which are the only committees of the Board to which either director has been appointed to date.

Mr. Quain, age 63, is a Senior Advisor to The Carlyle Group, L.P. He was a Partner of One Equity Partners from 2010 through 2011. From 2006 to 2010, Mr. Quain was a Senior Director of ACI Capital Corp. From 2002 to 2005, he was Chairman of the Board of Directors of Register.Com, Inc. and from 1997 to 2001 he was employed with ABN AMRO and its predecessors in several capabilities including Vice Chairman.

Mr. Hyman, age 56, has served as President and Chief Executive Officer of Community Education Centers since January 2015. Mr. Hyman serves as a director of The Hinckley Company and of Grosvenor Americas. He was Chief Executive Officer and President of TestAmerica Laboratories, Inc. from 2011 until 2014, and was Chairman, President and Chief Executive Officer of Cornell Companies, Inc. from 2005 until 2010.
