IVS Group S.A. informa che a seguito della delibera dell'assemblea del 13 dicembre 2013 che, inter alia, ha nominato come amministratore il dr. Raffaele Agrusti, il consiglio di amministrazione:

•  ha verificato la sussistenza dei requisiti di indipendenza del dr. Raffaele Agrusti secondo quanto previsto dal Codice di Autodisciplina di Borsa Italiana;

•  ha preso atto delle dimissioni del dr. Paolo Covre - recentemente nominato presidente di IVS Group - da membro e presidente del Comitato Nomine e Remunerazioni e del Comitato Controllo e Rischi;

•  ha nominato quale presidente dei Comitati Nomine e Remunerazioni e del Comitato Controllo e Rischi il dr. Luigi De Puppi, già membro dei medesimi comitati;

•  ha nominato il dr. Raffaele Agrusti quale membro del Comitato Nomine e Remunerazioni e del Comitato Controllo e Rischi.

A seguito delle suddette delibere, il Comitato Nomine e Remunerazioni e il Comitato Controllo e Rischi sono composti dai signori Luigi De Puppi (presidente), Carlo Salvatori e Raffaele Agrusti; tutti e tre hanno la qualifica di amministratori indipendenti.

IVS Group S.A - Appointments Internal Committees

IVS Group S.A. informs that following the EGM 13 December 2017 which, inter alia, has resolved the appointment of Mr. Raffaelel Agrusti as company's director, the board of directors:

•  has assessed that Mr. Agrusti meets the requirements of independence laid down by the Code of Conduct adopted by Borsa Italiana;

•  has acknowledged the resignation of Mr. Paolo Covre (recently appointed as IVS Group chairman) as member and chairman of the Appointment and Remuneration Committeee and of the Internal Control Committee;

•  has appointed as chairman of the Appointment and Remuneration Committeee and of the Internal Control Committee, Mr. Luigi De Puppi, who is already member of these committees;

•  has appointed Mr. Raffaele Agrusti as member of the Appointment and Remuneration Committeee and of the Internal Control Committee.

After these resolutions, the members of the Appointment and Remuneration Committee and of the Internal Control Committee are Mr. Luigi De Puppi (chairman), Mr. Carlo Salvarori and Mr. Raffaele Agrusti; all of them are qualified as independent directors.
