PROPOSAL RELATING TO ITEM ONE OF THE AGENDA
To decide on the election of the Secretary of the Board of the General Meeting of
Shareholders for the remainder of the four-year term of office 2023/2026
Whereas:
It is the responsibility of the General Meeting of IMPRESA - Sociedade Gestora de Participações Sociais, S.A. ("Impresa") to elect the members of the Board of the General Meeting (article 9, no. 1 of the Articles of Association) and that it is the responsibility of the General Meeting to elect the Secretary of the Board of the General Meeting;
Under the terms of Impresa's Articles of Association, the members of the Governing Bodies are elected for four-year terms;
The resignation of the previous Secretary of the Board of the General Meeting of Shareholders was submitted on 31 October 2023, with effect from 30 November 2023.
The shareholder IMPREGER - Sociedade Gestora de Participações Sociais, S.A. ("Impreger") proposes to the General Meeting the election of the Secretary of the Board of the General Meeting, for the remaining period of the current mandate, corresponding to the four-year period 2023/2026:

Under the terms and for the purposes of Article 289(1)(d) of the Companies Code, Impreger hereby informs that the proposed Secretary of the Board of the General Meeting, set to take office for the remainder of the current mandate, corresponding to the four-year period 2023/2026, does not hold Impresa shares.

September 2018 - present: Guest Lecturer at the Lisbon School of Law of the Portuguese Catholic University.
June 2018 - October 2019: Legal Advisor in the Investigation Department of the Portuguese Securities Market Commission, having been appointed its representative in the Portuguese Delegation to FATF/GAFI (Financial Action Task Force) and in the Working Group for the Revision of the National Risk Assessment for Money Laundering and Terrorist Financing.
September 2013 - June 2018: Lawyer at the Corporate department of Serra Lopes, Cortes Martins & Associados - Sociedade de Advogados, SP, RL (trainee lawyer from September 2013 to October 2016).

September 2015 - July 2016: Advanced LL.M. in International Business Law from Católica Global School of Law.
October 2012 - May 2013: Postgraduate course in Banking, Stock Exchange and Insurance Law at the Institute of Banking, Stock Exchange and Insurance Law of the Faculty of Law of the University of Coimbra.
September 2007 - July 2011: Law degree from the Faculty of Law of the University of Coimbra.
September 2010 - January 2011: Erasmus programme at the Università degli Studi di Pavia.

Impresa, SGPS, S.A. is Portugal's leading communications group. Net sales break down by activity as follows:
- operation of TV channels (82.2%): 8 channels operated (SIC, SIC Internacional, SIC News, SIC Radical, SIC Mulher, SIC K, SIC Caras et Txillo) at the end of 2021.
