Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year.
On February 7, 2023, the board of directors of Joway Health Industries Group
Inc., a Nevada corporation (the "Company"), and the holder of 121,343,700 shares
of the Company's common stock, par value $0.0001 per share ("Common Stock"),
representing approximately 59.98% of the Company's voting equity, approved by
written consent, in accordance with the applicable provisions of Nevada law, the
execution and filing of a Certificate of Amendment to the Articles of
Incorporation of the Company (the "Amendment") with the Nevada Secretary of
State, to effect the change of the Company's name from "Joway Health Industries
Group Inc." to "Idaho Copper Corporation" (the "Name Change"). On March 9, 2023,
the Company filed the Amendment with the Nevada Secretary of State, which became
effective immediately upon filing.
A copy of the Amendment is filed as Exhibit 3.1 to this Current Report on Form
8-K and incorporated herein by reference.
Item 8.01 Other Events.
In connection with the Name Change, the Company has submitted to the Financial
Industry Regulatory Authority, Inc. ("FINRA") a voluntary request for the change
of the Company's name and trading symbol in the market. The Company will file a
Current Report on Form 8-K to disclose the effective date of its name and
trading symbol change in the market upon receipt of approval from FINRA.
