Subject: Progress Report on Acquisition of DataOn Group
To: The President
The Stock Exchange of Thailand
According to the Extraordinary General Meeting of Shareholders No. 1/2022 of Humanica Public Company Limited ("the Company"), held on March 31, 2022, approved the acquisition of the DataOn Group Companies and the Board of Directors Meeting No. 3/2022 dated April 26, 2022 that approved the amendment of the acquisition conditions. In summary, it is the acquisition of ordinary shares of DataOn Group companies as follows:
The Company will purchase all ordinary shares of PT. IndoDev Niaga Internet (Indonesia) ("INI"), including its subsidiaries, PT. Synergy Group Asia (Indonesia) ("SGA").
The Company will purchase all ordinary shares of DataOn International Co., Ltd. (Hong Kong)
("DOI").
Humanica Asia Pte Ltd. (the Company's subsidiary) will purchase 55% of the total ordinary shares of Synergy Outsourcing Sdn, Bhd. (Malaysia) ("SGMY").
from Viko Technologies Pte. Ltd., Mr. Gordon Enns and Mr. Benjamin Ho Chi Wai ("Seller") with the value of consideration for the acquisition of DataOn Group amounting to 1,989.03 million baht. The Company will pay by issuing new ordinary shares of the Company in the amount of not more than 187,443,576 shares at the offering price of 10.60 baht per share to the seller with the total value is not more than 1,986.90 million baht for the purchase of ordinary shares of INI DOI and SGA. And payment in cash of 2.13 million baht only for the purchase of SGMY's ordinary shares.
The Company would like to report on the progress of the acquisition as follows:
The Company has acquired all ordinary shares of PT. IndoDev Niaga Internet (Indonesia)
("INI"), including its subsidiaries, namely PT. Synergy Group Asia (Indonesia) ("SGA") and DataOn International Co., Ltd. (Hong Kong) ("DOI") was completed on May 24, 2022. The
Company will be able to recognize the revenues and profits of such companies in the Company's consolidated financial statements from May 25, 2022. onwards
Humanica Asia Pte Ltd. (the Company's subsidiary) is in the process of acquiring 55% of the total ordinary shares of Synergy Outsourcing Sdn, Bhd. (Malaysia) ("SGMY"). This will be completed by June 30, 2022.
