GREIF NIGERIA : GREIF NIG PLC POST AGM RESOLUTION

RESOLUTIONS PASSED AT THE 84TH ANNUAL GENERAL MEETING OF GREIF NIGERIA PLC

At the 84th Annual General Meeting (AGM) of Greif Nigeria Plc (the Company) which held at NECA HOUSE (Main Auditorium), Plot A2, Hakeem Balogun Street, Central Business District, Alausa, Ikeja, Lagos on 31st January, 2022, shareholders duly passed the following resolutions tabled at the AGM:

1. Laying of the Annual Report and Accounts for the year ended 31st October, 2021 before the meeting;
2. Re-electionof Mr. Erik 't Sas as a Director of the Company;
3. Disclosure of the Remuneration of Managers;
4. Ratification of the appointment of BDO Professional Services as Auditors of the Company in place of Ernst & Young;
5. Authorizing the Directors to fix the remuneration of BDO Professional Services;
6. Constituting Mr. David O. Oguntoye, Elder, Lady A.A. Shoewu, JP, and Alh.Kolawole Saka (representing the Shareholders) as well as Mr. G.A. Omotayo and Mr. Erik 't
   Sas (representing the Board) as members of the Statutory Audit Committee of the Company till the next Annual General Meeting.
7. Approval of the Directors' Fees of N180,000.00 for the year ended 31st October, 2021;
8. Approval of the following Special Resolutions:

1. That the Company be wound up.
2. That Inam Wilson Esq. be appointed Liquidator of the Company.
3. That the Board of Directors of the Company be and is hereby authorised to take such steps or actions and to do all things as may be necessary to give full effect to the above-mentioned resolution.
