The Board of Global Brands Group Holding Limited announced that on 1 March 2019, the Company has entered into the Master Agreements with FH 1937 relating to the leasing or sub-leasing of any properties and/or granting of license for the right to use properties (or any part thereof) by the Group from/to FH 1937 Group and distribution and sale of products, including but not limited to apparel, footwear, fashion accessory and related lifestyle products, by the Group to FH 1937 Group, all for a term of three years commencing from 1 April 2019 to 31 March 2022. Transaction nature: The 2019 Master Property Agreement governs the terms on which members of the Group and members of the FH 1937 Group lease or sub-lease properties and/or grant licence for the right to use properties (or any part thereof) by the Group from/to FH 1937 Group. Term: Three years from 1 April 2019 to 31 March 2022. Pricing basis: The rentals and/or licence fees payable under all the Property Transactions to be entered into between the Group and FH 1937 Group will be negotiated on arm's length basis and with reference to the then prevailing market rates or at rates no less favourable to the Group than those available to any other independent third parties at the time of entry into the relevant Subsequent Agreements. Master distribution agreement: The 2019 Master Distribution Agreement governs the terms on the distribution and sales of products, including apparel, footwear, fashion accessory and related lifestyle products, by the Group to the FH 1937 Group. Term: From 1 April 2019 to 31 March 2022. Pricing basis: The pricing for each of the Distribution Transactions will be negotiated on arm's length basis and with reference to the market rates or at rates similar to those offered to any other third party customers. The Group shall not be obliged to accept any terms and conditions (including pricing terms) for each of the Distribution Transactions which are less favourable than those agreed between any member of the Group and its independent third party customers.
