Fiumicino, 25 September 2013 - Gemina SpA announces that, in view of the approaching completion of the merger of Gemina SpA with and into Atlantia SpA, and following the resignation of Beng Huat Ho as a Director, today's meeting of the Board of Directors of Aeroporti di Roma SpA, chaired by Fabrizio Palenzona, has, pursuant to art. 2386 of the Italian Civil Code, elected Giovanni Castellucci - currently the Chief Executive Officer of Atlantia SpA and Autostrade per l'Italia SpA - as a Director and as a member of ADR's Investment and Procurement Committee.

The Board examined the traffic figures for the period from the beginning of the year until 23
September, which show a decline with respect to the same period of the previous year (down 2.2% in terms of the airport system). The negative economic environment has weighed heavily on the performance, with the biggest falls affecting Domestic (down 8.0%) and European (down 1.3%) traffic, whilst traffic to destinations outside Europe continued to grow (up 3.3%), driven primarily by countries with growing economies.
Finally, the Board again raised serious concerns over the finances and governance of Alitalia, which could affect its ability to continue to operate on intercontinental and international routes as the Italian flag carrier and compromise its role as a hub carrier. A worsening of this situation would have a considerable impact on the financial situation and levels of employment in related businesses over both the short and long term, resulting in the need to reconsider the planned development of Fiumicino airport.

The ADR Group operates and develops Rome Fiumicino and Ciampino airports and carries out other related activities complementary to airport management. Fiumicino has four passenger terminals, serving business and leisure passengers on domestic, international and intercontinental routes; Ciampino is primarily used by low-cost carriers, express couriers and General Aviation. In 2012 ADR, as an airport system, handled almost 42 million passengers, with around 230 destinations around the world connected with Rome, thanks to the over 100 airlines operating from the two airports.
