Declaration of Compliance of the Executive Board and the Supervisory Board

of GEA Group Aktiengesellschaft

with the German Corporate Governance Code pursuant to section 161 AktG

Between the submission of the last Declaration of Compliance on December 17, 2020, and April 30, 2021, GEA Group Aktiengesellschaft complied with the recommendations of the German Corporate Governance Code as amended on December 16, 2019 ("GCGC 2020") and published by the Federal Ministry of Justice in the official section of the Federal Gazette, except for the following departure therefrom:

- Recommendation C.10 sentence 1 GCGC 2020, according to which the Chair of the Supervisory Board, the Chair of the Audit Committee, as well as the Chair of the committee that addresses Management Board remuneration, shall be independent from the company and the Management Board.

The former Chairman of the Supervisory Board, Dr. Helmut Perlet, who held this position until the conclusion of the Annual General Meeting on April 30, 2021, while also chairing the Presiding Committee of the Supervisory Board - which inter alia addresses matters related to Executive Board remuneration - until then, could not be considered independent from the company in accordance with recommendation C.7 (2) GCGC 2020, since he had been a member of the Supervisory Board for more than twelve years.

Since May 1, 2021, GEA Group Aktiengesellschaft has fully complied with the recommendations of the GCGC 2020.

  • On April 30, 2021, the Annual General Meeting (re-)elected all shareholder representatives on the Supervisory Board. At its constituent meeting following this Annual General Meeting, the Supervisory Board elected Klaus Helmrich, who is considered independent, as new Chair of both the Supervisory Board and the Presiding Committee of the Supervisory Board.

GEA Group Aktiengesellschaft declares that it intends to fully comply with the recommendations of the GCGC 2020 in the future.
