shareholders approve all Board proposals

Zurich, April 15, 2014 - gategroup Holding AG held its 2014 General Meeting today. Shareholders at the meeting voted in favor of all the proposals put forward by the Board of Directors.

Shareholders approved the annual report, the annual financial statements and consolidated financial statements for 2013 and granted discharge to the members of the Board of Directors for their actions in the 2013 financial year. Shareholders also approved the 2013 Compensation Report in a consultative vote.

The proposed dividend distribution of CHF 0.30 per share was also approved.

Ilona De March was elected as a new member of the Board of Directors. Existing Board members Neil Brown, Remo Brunschwiler, Andrew Gibson, Brian Larcombe and Anthonie Stal were all elected for a further one-year term of office, and the serving Chairman of the Board Andreas Schmid was confirmed in his post. David Siegel, who was a Board member, did not stand for re-election. The Board of Directors appreciates Siegel's long-standing commitment to the Group and his excellent support to the Board of Directors and management over the last ten years.

Remo Brunschwiler, Brian Larcombe, Anthonie Stal and Chairman of the Board Andreas Schmid were elected as members of the Board's Compensation Committee.

Shareholders elected Markus Meili, Attorney at Law, Kloten, Switzerland, as independent proxy, and PricewaterhouseCoopers AG (PwC), Zurich, as auditors for 2014.

The proposal to extend the Board's authority to issue authorized share capital of up to 2,655,413 fully paid-up registered shares with a par value of CHF 5.00 each by 16 April 2016 was approved, as was the proposed partial revision of the articles of association.
