FIMBank p l c : Change in directorship/appointment of senior management

COMPANY ANNOUNCEMENT

The following is a Company Announcement issued by FIMBank p.l.c. ("FIMBank" or the "Bank") pursuant to the Malta Financial Services Authority Capital Markets Rules 5.16 et seq., in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta) as may be amended from time to time.

FIMBank announces that Mr. Erich Schumacher, holder of Austrian passport number U6031201 and residing at Q1, Apartment 26, Il Ponta Ta' Tigne, Sliema, SM 3290, has resigned from his position as a Non-Executive Director of the Bank with effect from 24th April 2024. The Board of Directors has expressed its gratitude towards Mr. Schumacher for his service as Director of the Bank. Mr. Schumacher has been appointed as FIMBank's new Group Chief Operations Officer, effective from 6th May 2024, whose appointment is subject to regulatory approval.

The Bank also announces the appointment of Mr. Samer Abbouchi as Non-Executive Director of the Bank whose appointment is subject to regulatory approval.

Mr. Samer Abbouchi is the holder of Lebanese passport number RL4265131 and resides at Bneid, Al Gar, Block 2, Street 77, Massaleh East Complex, Building 1, Kuwait.

Mr. Samer Abbouchi is the Group Senior Vice President - Investment of Kuwait Projects Company (Holding), KIPCO. Mr. Abbouchi started his career with Ernst & Young, Kuwait then joined Ryada Capital Investment Company, Kuwait as Manager - Investment Banking and Global Investment House, Kuwait as Senior Vice President - Investment Banking. Prior to joining KIPCO, Mr Abbouchi was the Deputy General Manager - Corporate Finance/Investment Banking and Strategic Investments at Gulf Bank of Kuwait. Mr. Abbouchi holds a Bachelors of Arts (BA) in Business Administration from the American University of Beirut, a Masters in Business Administration (MBA) from London Business School and is a Chartered Financial Analyst Charter holder.

Mr. Abbouchi does not presently hold and has not held at any time in the past five (5) years, a directorship in any other local issuer.

There are no matters concerning Mr. Erich Schumacher, and Mr. Samer Abbouchi that require disclosure under Capital Markets Rules 5.20.5 to 5.20.9.
