Farmhouse, Inc entered into an agreement and plan of merger to acquire Revival, Inc. on August 13, 2019. According to the agreement, all of the issued and outstanding shares of Farmhouse common stock will be exchanged for shares of Revival, on a one share for one share basis. Upon closing, Farmhouse issued 11,368,853 common shares in exchange of 11,368,853 shares of Revival, Inc. The total number of shares issued and outstanding immediately after the closing of the merger was 14,428,275 of the combined company. Pursuant to the agreement, Revival Inc. will merge into Farmhouse, Inc., with Farmhouse, Inc. being the surviving entity.
