          Appointment of Certain Officers; Compensatory Arrangements of Certain
          Officers

On April 28, 2022, Farmers & Merchants Bancorp the ("Company") announced that its Chief Financial Officer, Mark K. Olson, for both the Company, and its wholly-owned subsidiary, Farmers & Merchants Bank of Central California ("Bank"), had submitted his resignation effective as of April 29, 2022. Mr. Olson is resigning for personal reasons and there were no disagreements between Mr. Olson and the Company or the Bank. His departure is not related to the operations, policies or practices of the Company or Bank or any issues regarding accounting policies or practices. The Company also announced that its former Chief Financial Officer, Stephen W. Haley, will assume this role for both the Company and Bank on an interim basis. The Board of Directors of the Company and Bank intends to immediately conduct a search of potential candidates to replace Mr. Olson.
