DATE, TIME AND VENUE: On April 19, 2017, at 10:00 a.m., at the registered office of Eucatex S.A. - Indústria e Comércio ("Company"), located at Av. Presidente Juscelino Kubitschek, 1830 - Torre I - 11º andar - Itaim Bibi, in the city and state of São Paulo.

CALL NOTICE: Call notice was published on April 4, 5 and 6, 2017 in the State Register Diário Oficial Empresarial do Estado de São Paulo, on pages 57, 25 and 67, and in the newspaper Valor Econômico, on pages E9, E4 and E3, respectively.

ATTENDANCE: Debentureholders representing one hundred percent (100%) of the outstanding Debentures, in accordance with the signatures in the list of attendance of Debentureholders, in addition to Oliveira Trust Distribuidora de Títulos e Valores Mobiliários S/A (Trustee), the representative of the Company, the representative of ECTX S/A and Mr. Flávio Maluf (Sureties). PRESIDING BOARD: Chairperson - Mrs. Roberta Mariano da Silva, Secretary - Mr. Marcelo Takeshi Yano de Andrade AGENDA: To consider and vote on not declaring the Early Maturity of the Debentures, due to breach of the Financial Ratios calculated for fiscal year 2016, in accordance with Clause 5.3.1.2, item (xix) of the Issue Indenture. RESOLUTIONS: On the date hereof, the attending debentureholders unanimously decided to adjourn the general meeting of debentureholders and reconvene it on May 31, 2017. CLOSURE: The floor was offered to all those present, but no one came forward. Therefore, without any other business to discuss, the meeting was adjourned, these minutes were drawn up, read, approved and signed by all those present. Any capitalized terms herein whose meaning is not expressly defined herein shall have the meaning attributed thereto in the documents pertaining to the operation. The attending debentureholders authorized the drawing up of these minutes of the General Meeting of Debentureholders in the summary format, pursuant to Article 130, Paragraph 1 of Federal Law 6,404/76, respectively.
