Ximax Oil & Gas Solutions Limited
The board is pleased to announce that the Company has made a further investment.
The Company has acquired 250,000 ordinary shares in Ximax Oil & Gas Solutions Limited, representing 25 per cent of Ximax Oil & Gas Solutions Limited's issued share capital for a consideration of £90,000 which is being satisfied by the issue of 1,800,000 warrants in Emmit ("Consideration Warrants"). The Consideration Warrants are exercisable at any time until 31 December 2017 at a price of 6 pence per share.
The Consideration Warrants have been issued to Oil & Gas Chemical Holdings Limited ("O&G") (900,000 warrants) and HS Holdings Limited ("HSH") (900,000 warrants), both O&G and HSH are incorporated in the Republic of Seychelles.
Ximax Oil & Gas Solutions Limited
Formed in January 2011, Ximax Oil & Gas Solutions is an associate company of Ximax Environmental Solutions Plc ("XESS") - the Company announced on 11 March 2014 that it had taken a 20 per cent. interest in XESS.
Ximax Oil & Gas Solutions has developed and further enhanced the chemical "Xziox" for the specialist water treatment applications in the Oil and Gas industry. The enhanced chemical is marketed internationally under the registered brand name of FlowXcel®.
The latest management accounts of Ximax Oil & Gas Solutions show net assets of £1.3 including £1.0 m of cash.
