Addendum to the Investment Agreement

The Management Board of Elemental Holding S.A. with its registered office in Grodzisk Mazowiecki (hereinafter referred to as the "Issuer") hereby notifies that today, i.e. on 29 May 2017, it signed an addendum to the Investment Agreement dated 10 February 2017 (hereinafter referred to as the "Addendum") defining the scope and rules of carrying out the investment consisting in the expansion and modernization of the plant in Bydgoszcz, conclusion of which was reported by the Issuer in the current report No. 5/2017 of 10 February 2017.

Based on the Addendum signed, the parties to the Agreement changed the investment completion date from 31 July 2017 to 31 October 2017. The date change, made at the request of the Issuer, stems from modifying the construction method of the sampling line designed for representative sampling of metals from recycled PCBs.

Also today, the entity of the Elemental Holding S.A. Capital Group, i.e. FINEX SICAV SIF S.A.

- Private Equity VII (hereinafter referred to as the "Fund") informed the Issuer that under the Investment Agreement it had acquired a 25% stake in the company carrying out the investment. As a result of the transaction, the Fund holds 84.1% of shares.

The Issuer will inform on further cooperation and implementation stages of the said investment in subsequent reports.
