EI Towers : tenders its treasury shares in the Public Tender Offer

EI TOWERS ADERISCE ALL'OFFERTA PUBBLICA DI AQUISTO PROMOSSA DA 2I

TOWERS CON LE AZIONI PROPRIE

Lissone, 11 Settembre 2018 - Con riferimento all'offerta pubblica di acquisto volontaria totalitaria promossa in data 16 luglio 2018 da 2i Towers S.p.A. sulle azioni ordinarie di EI Towers S.p.A. ai sensi degli artt. 102 e 106, comma 4, del TUF (l'"Offerta"), e tenuto conto di quanto indicato nel comunicato approvato in data 2 agosto ai sensi dell'art. 103 del TUF e dell'art. 39 del Regolamento Emittenti, il Consiglio di Amministrazione di EI Towers, riunitosi in data odierna sotto la presidenza di Alberto Giussani, ha deliberato di portare in adesione all'Offerta le n. 1.364.540 azioni di cui la Società è titolare, pari al 4,83% del capitale sociale.

Tenuto conto del corrispettivo dell'Offerta, pari ad Euro 57,00 per azione, il corrispettivo complessivo spettante ad EI Towers sarà pari ad Euro 77.778.780,00.

La Società rende noto, infine, che gli amministratori Guido Barbieri, Piercarlo Invernizzi e Francesco Sironi hanno comunicato l'intenzione di aderire all'Offerta con le azioni EI Towers nella loro titolarità, rispettivamente pari a nn. 2.000, 12.500 e 600 azioni.

IN THE PUBLIC TENDER OFFER LAUNCHED BY 2I TOWERS

Lissone, 11 September 2018 - With reference to the voluntary public tender offer launched on 16th July 2018 by 2i Towers S.p.A. on the whole ordinary share capital of EI Towers S.p.A. pursuant to articles 102 and 106, paragraph 4, of the TUF (the "Offer"), and taking into account the information provided in the announcement approved on 2nd August pursuant to art. 103 of the TUF and to art. 39 of the Issuers Regulation, the Board of Directors of EI Towers, which met today under the chairmanship of Alberto Giussani, resolved to tender the no. 1,364,540 treasury shares held by the Company, representing the 4.83% of the ordinary share capital, in the Offer.

Taking into consideration the Offer price, equal to Euro 57.00 per share, the overall cash-in to EI Towers will be Euro 77,778,780.00.

Lastly, the Company informs that the directors Guido Barbieri, Piercarlo Invernizzi and Francesco Sironi have announced their intention to accept the Offer with the EI Towers shares in their ownership, respectively equal to no. 2,000, 12,500 and 600 shares.
