On August 8, 2019, Eguana Technologies Inc. (TSXV:EGT) has amended and closed the transaction. The company will now issue convertible debenture units in the transaction. The company has issued 1,215 unsecured convertible debenture units for gross proceeds of CAD 1,215,000 in its non-brokered second and final tranche closing bringing the total funds raised in the transaction to CAD 4,227,000. The transaction includes participation from insiders which includes returning investor DHCT II Luxembourg S.a.r.l. subscribed for 1,200 units and Gregory Nelson subscribed for 15 units. The units issued to DHCT II Luxembourg S.a.r.l. are convertible into 8,000,000 common shares of the company which represents 3.53% stake in the company and 4,000,000 common shares purchase warrants entitling the investor to subscribe for 4,000,000 shares at an exercise price of CAD 0.20 per share. Each unsecured convertible debenture unit is comprised of one CAD 1,000 unsecured convertible debenture and such number of common share purchase warrants equal to the principal amount of the debenture divided by CAD 0.30, with each warrant exercisable at CAD 0.20 to acquire one common share for a period of 36 months from the date of issuance. The company issued units to 31 placees including Justin Holland who subscribed for 50 units, Sonia Kuehnle subscribed for 15 units, Robert Penner subscribed for 26 units and Brent Harris subscribed for 15 units.
