Domino's Pizza Group plc (LSE:DOM) agreed to acquire a further 44.3% stake in Pizza Pizza ehf from Eyju eignarhaldsfélagi II, Högni Sigurdssonfor, Steinar Sigurosson and Birgir Örn Birgisson for ISK 3.8 billion on December 14, 2017. The consideration will be paid in cash on completion. The acquisition includes the purchase of all of the shares of two significant shareholders in Domino's Iceland, being Eyju eignarhaldsfélagi II and Högni Sigurdsson, and a proportion of the Pizza Pizza ehf shares owned by the other shareholders being Steinar Sigurosson and Birgir Örn Birgisson. Birgir Örn Birgisson and Steinar Sigurosson being the key management of Pizza Pizza ehf will retain between them a 4.7% shareholding in Pizza Pizza ehf. Domino's Pizza Group will finance the acquisition through existing debt facilities. For 52 weeks ended December 25, 2016, Pizza Pizza ehf reported sales turnover of ISK 5.026 billion and profit before tax of approximately ISK 340 million. The transaction is subject to shareholder approval. As of January 11, 2018, shareholders of Domino's Pizza Group have approved the deal.
