INCORPORATION OF A NEW SUBSIDIARY, SHANGHAI JIASHU REAL ESTATE CO., LTD, IN THE PEOPLE'S REPUBLIC OF CHINA

The Board of Directors of CWG International Ltd (the "Company" and wishes to announce that the Company's wholly-owned subsidiary, Suzhou Chiwayland Group Co., had incorporated a subsidiary, known as Shanghai Jiashu Real Estate Co., Ltd (上海嘉澍置业有限公司) in the People's Republic of China ("PRC") ("New Subsidiary"). Suzhou Chiwayland Group Co., Ltd holds 90% of the equity interests

in the New Subsidiary, while the remaining 10% is held by Mr Zheng Xueming, an unrelated third party of the Company.

The registered capital of the New Subsidiary is RMB 20,000,000. Mr Qian Jianrong is appointed as the legal representative of the New Subsidiary, and Mr Qian Jianrong, Mr Li Bin, and Mr Zheng Xueming are appointed as first directors of the New Subsidiary.

The intended principal activities as registered with the State Administration for Industry and Commerce of the People's Republic of China include property development and management, construction and enterprise management.

The establishment of the New Subsidiary is not expected to have any material impact on the earnings per share or net tangible asset of the Group for the year ending 31 December 2017.

None of the Directors or controlling shareholders of the Company (other than in their capacity as Director or shareholders of the Company) has any interest, direct or indirect, in the New Subsidiary.
