PROFIT WARNING

This announcement is made by the Company pursuant to Rule 13.09(2) of the Listing Rules and the Inside Information Provisions under Part XIVA of the SFO.

The Board wishes to inform the Shareholders and potential investors that the Company is expected to record a greater loss for its six-month period ended 30 June 2016 as compared with the loss recorded by Company for the corresponding period in 2015. This profit warning announcement is only based on the preliminary review on the management accounts of the Company, which has not been reviewed nor confirmed by the Company's auditors.

The interim results announcement of the Company for its six-month period ended 30 June 2016 is expected to be announced before the end of August 2016.

Shareholders and potential investors are advised to exercise caution when dealing in the shares of the Company.

This announcement is made by Earnest Investments Holdings Limited (the "Company") pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) (the "SFO").

Based on a preliminary review by the Company's management on the management accounts of the Company, the board of directors of the Company (the "Board") wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that the Company is expected to record a greater loss for its six-month period ended 30 June 2016 as compared with the loss recorded by the Company for the corresponding period in 2015. The Board considers that the expected increased loss is mainly attributable to (i) a greater loss on financial assets at fair value through profit or loss of approximately HK$5.1 million (which comprised of unrealised gain and realised loss of approximately HK$18.0 million and HK$23.1 million respectively) expected to be recorded for the six-month period ended 30 June 2016 as compared with the loss on

financial assets at fair value through profit or loss of approximately HK$3.5 million (which comprised of unrealised loss and realised gain of approximately HK$3.9 million and HK$0.4 million respectively) recorded by the Company for the corresponding period ended 30 June 2015; and (ii) an increase in administrative and other operating expense of approximately HK$1.3 million during its six-month period ended 30 June 2016.

This profit warning announcement is only based on the preliminary review on the management accounts of the Company, which has not been reviewed nor confirmed by the Company's auditors.

The Company is in the process of finalizing the interim results of its continuing operations for the six-month period ended 30 June 2016. The overall financial results of the Company for the six-month period ended 30 June 2016 will only be ascertained when all the relevant results and treatments are finalised. The interim results announcement of the Company for its six-month period ended 30 June 2016 is expected to be announced before the end of August 2016.
