VOLUNTARY ANNOUNCEMENT

RELOCATION OF HEADQUARTERS

This voluntary announcement is made by Comtec Solar Systems Group Limited (the "Company", together with its subsidiaries, the "Group") to keep the shareholders of the Company and potential investors informed of the latest business development of the Group.

Reference is made to the announcement (the "Announcement") of the Company dated 18 March 2021 in relation to a strategic cooperation framework agreement (the "Agreement") entered into among the Company, Jiangsu Changzhou Tianning Economic Development Zone Management Committee* (江 蘇常州天寧經濟開發區管理委員會) ("Tianning EDZ Management Committee") and Changzhou Tianning Investment Service Centre* (常州市天寧區招商服務中心) (collectively, the "Parties").

RELOCATION OF THE HEADQUARTERS OF THE GROUP

To fulfill its obligations under the Agreement, the Company is pleased to announce that Green One New Energy Limited Company* (一葉新能源(江蘇)有限公司) ("Green One New Energy"), a wholly owned subsidiary of the Company, has been established in Tianning District ("Tianning District"), Changzhou City, Jiangsu Province, the People's Republic of China.

Green One New Energy Limited Company is principally engaged in, inter alia, the establishment and operation of a new energy-asset trading platform (which will also be set up in Tianning District as and when appropriate), intelligent logistics, renewable energy business and other pre-existing businesses of the Group. Meanwhile, the Company will continue to operate its original distributed energy business.

As Green One New Energy will serve as the new headquarters of the Group, the Group will reallocate all of its business operations and a majority of core personnel to Green One New Energy for centralised management.
