The Board of Directors of Commercial has unanimously approved the transaction and recommends that Commercial's shareholders vote FOR the special resolution approving the acquisition of all of Commercial's issued and outstanding shares by Motion Industries (Canada), Inc. ("Motion Industries") and Genuine Parts Company, in accordance with the arrangement agreement entered into on December 2, 2013 (the "Arrangement").

Commercial's shareholders of record as of 5:00 p.m. (Edmonton time) on December 12, 2013, are entitled to receive notice of, and vote at, the Meeting.
