Notice of Establishment of Nominating and Remuneration Committee

We are pleased to announce that our Board of Directors, at a meeting held today, resolved to establish a Nominating and Remuneration Committee as a voluntary advisory body to the Board of Directors, as follows:

1. Reason for Establishment

The purpose is to strengthen the fairness, transparency, and objectivity of procedures for the Board of Directors' functions related to director nominations, remuneration, etc., to strengthen the management system for fair and transparent decision- making, and to enhance the Company's corporate governance system.

2. Role of the Committee

The Nomination and Remuneration Committee shall report to the Board of Directors after deliberating mainly on the following matters.

・Matters relating to the election and dismissal of directors

・Matters concerning the selection and dismissal of representative directors ・Matters relating to the selection and dismissal of executive directors

・Matters related to remuneration for directors

・Other matters deemed necessary by the Board of Directors in relation to the above

3.Members of the Committee

The Nomination and Remuneration Committee shall consist of at least three directors appointed by a resolution of the Board of Directors, a majority of whom shall be independent outside directors.

The chairperson of the committee shall be selected from among the committee members by a resolution of the Nomination and Compensation Committee.

The members of the Nomination and Compensation Committee at the time of its establishment are as follows.
