Citizens & Northern Corporation (the "Company") announced unaudited, consolidated financial results for the year ended December 31, 2019. On January 16, 2020, the Company issued a press release titled "C&N Declares Dividend and Announces Fourth Quarter 2019 Unaudited Financial Results," a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The Company's "banCNotes," a report that includes unaudited financial information, will be mailed to shareholders on or about January 23, 2020. A copy of the unaudited quarterly financial information included in banCNotes is furnished as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference. ITEM 8.01. Other Events

On January 16, 2020, the Company's Board of Directors declared a cash dividend on its common stock of $0.27 per share. The dividend is payable February 7, 2020 to shareholders of record as of January 27, 2020. The Company announced the dividend in the press release which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
