This announcement is made by the Company pursuant to Rule 13.09(2)(a) of the Listing Rules and Part
XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).
The Board wishes to inform the Shareholders and potential investors that the Group is expected to record a loss for the year ended 31 December 2013 as compared to the recorded profit for the same period last year.

Shareholders and potential investors are advised to exercise caution when dealing in the securities of the Company.


This announcement is made by China Tontine Wines Group Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).
The board of directors (the "Board") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that, based on information currently available to the Board in the preparation of the final results of the Group for the year ended 31 December 2013 (the "Final Results"), the Group is expected to record a loss for the year ended 31 December 2013 as compared to the recorded profit for the same period last year.
The expected loss was mainly attributable to (i) the decrease in the Group's revenue due to economic slowdown and weaker demand for the domestic wine products; (ii) a substantial decrease in the Group's operating profit caused by a slump in the sales of its mid-range and high-end wines (which had adversely affected the Group's product mix and overall gross margin) mainly due to the PRC government-imposed restrictions on entertainment and hospitality as part of its anti-corruption drive; and (iii) an increase in selling and distribution expenses for brand building, sales and marketing of the products of the Group.

The Board considers that the Group's overall operation remains sound, and financial position remains healthy.
The Company is still in the process of preparing and completing the Final Results. The information in this announcement represents a preliminary assessment based on the information currently available to the Board, which has not yet been finalized and has not yet been audited and/or reviewed by the Company's auditors.
