DELAY IN DESPATCH OF CIRCULAR

IN RELATION TO VERY SUBSTANTIAL ACQUISITION

AND CONNECTED TRANSACTION

Reference is made to the announcement (the "Announcement") of China Daye Non-Ferrous Metals Mining Limited (the "Company") dated 30 August 2019 in relation to, among other things, the Capital Contribution Agreement. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among other things, (i) further details of the Capital Contribution Agreement and the transactions contemplated thereunder;

1. the letter of advice from the Independent Financial Adviser; (iii) the letter of recommendation from the Independent Board Committee; (iv) the financial and other information on the Group; (v) the notice of the SGM; and (vi) other information as required under the Listing Rules, is expected to be despatched to the Shareholders on or before 30 September 2019.

As additional time is required for the Company to prepare and finalise certain information to be included in the Circular, it is expected that the despatch date of the Circular will be postponed to a date falling on or before 25 October 2019.
