NOTICE OF SPECIAL MEETING OF SHAREHOLDERS

To Be Held on April 28, 2022

To the Shareholders of CCOM Group, Inc.:

NOTICE IS HEREBY GIVEN that a special meeting (the "Special Meeting") of the shareholders of CCOM Group, Inc. (the "Company", "we" or "our") will be held at the Company's offices at 275 Wagaraw Road, Hawthorne, NJ 07506 on April 28, 2022, at 11:00 a.m. local time. The Special Meeting will also be accessible telephonically by calling (877) 309-2073 or (571) 317-3129 and entering the access code 226-811-117.

The Special Meeting will be held for the following purposes:

Proposal 1 - to consider and vote on a proposal to adopt the Agreement and Plan of Merger dated as of March 17, 2022 (as it may be amended from time to time, the "Merger Agreement"), by and among the Company, Goodman Distribution, Inc. a Texas corporation ("Parent"), and Spiderman Merger Sub, Inc., a Delaware corporation aQd wholly owned subsidiary of Parent ("Merger Sub"), pursuant to which, among other things, Merger Sub will merge with and into the Company, with the Company as the surviving corporation (the "Surviving Corporation") and a wholly owned subsidiary of Parent (the "Merger"), and to approve the Merger, in each case, contingent upon the approval of Proposal 2;

Proposal 2 - to authorize an amendment of the Company's Restated Certificate of Incorporation (the "Amendment"), which Amendment will clarify and expressly provide that each share of convertible preferred stock of the Company, par value $.05 per share (such convertible preferred stock, the "Convertible Preferred Stock", and the holders thereof, the "Preferred Shareholders"), will be entitled to the same consideration, in form and amount, per share upon the consummation of a consolidation or merger as one share of common stock of the Company, par value $.05 per share (such common stock, the "Common Stock", and the holders thereof, the "Common Shareholders"); and

to act upon such other business as may properly come before the Special Meeting (provided that the Company does not know, at a reasonable time before the Special Meeting, that such matters are to be presented at the meeting) or any adjournment or postponement thereof.

Our Common Shareholders and Preferred Shareholders (collectively, the "Shareholders" and each a "Shareholder") as of the close of business on April 8, 2022 (the "Record Date") are entitled to notice of and to vote at the Special Meeting or at any adjournment thereof. All Shareholders of record are cordially invited to attend the Special Meeting. A list of our Shareholders as of the Record Date will be available at the Special Meeting upon the request of any Shareholder as of the Record Date.

We have described the Merger Agreement, the Merger and the Amendment and the factors carefully considered by the Board of Directors of the Company (the "Board") in arriving at its recommendations in the accompanying proxy statement, which you should read in its entirety before voting on the proposals set forth therein. A copy of the Merger Agreement is attached as Annex A to the proxy statement and a copy of the Amendment is attached as Annex B to the proxy statement.

The Board unanimously recommends that the Shareholders vote "FOR" Proposal 1 to adopt the Merger Agreement and approve the Merger and "FOR" Proposal 2 to authorize the Amendment. Under New York law, (i) the adoption of the Merger Agreement and approval of the Merger requires the affirmative vote of holders of two-thirds (2/3) of the aggregate voting power of outstanding shares of Common Stock and Convertible Preferred Stock, voting together as a single class, and (ii) the authorization of the Amendment requires the affirmative vote of (A) holders of a majority of the aggregate voting power of the outstanding shares of Convertible Preferred Stock, voting as a separate class, and (B) holders of a majority of the aggregate voting power of the outstanding shares of Common Stock and Convertible Preferred Stock, voting together as a single class.

With respect to each of the aforementioned proposals presented to the Shareholders for a vote, each Shareholder that holds Common Stock or Convertible Preferred Stock as of the Record Date shall have one (1) votefor each share of Common Stock or Convertible Preferred Stock owned by such Shareholder as of the close of business on the Record Date.

If you sign, date and return your proxy card without indicating how you wish to vote, your proxy will be voted in favor of (i) the adoption of the Merger Agreement and approval of the Merger, AND (ii) the authorization of the Amendment. If you fail to vote or submit your proxy (unless you are a record holder as of the Record Date, or you obtain a legal proxy from your bank, broker or other nominee, and you attend the Special Meeting in person), the effect will be that your shares will not be counted for purposes of determining whether a quorum is present at the Special Meeting and will have the same effect as a vote "AGAINST" each of Proposal 1 and Proposal 2.

Your proxy may be revoked at any time before the vote at the Special Meeting by following the procedures outlined in the accompanying proxy statement. If you are a Shareholder of record, attend the Special Meeting and wish to vote in person, you may revoke your proxy and vote in person.
