Dr. Cheng Chi Pang, Leslie ("Dr. Cheng"), a non-executive director of Build King Holdings Limited (the "Company"), has notified the Company that as a certified public accountant (practising), he and a firm of certified public accountants of which he is senior partner have been reprimanded by the disciplinary committee of the Hong Kong Institute of Certified Public Accountants (the "Institute"). Both Dr. Cheng and his firm have been required to pay penalty and costs. The disciplinary proceedings were brought on a complaint that they failed or neglected to observe, maintain or otherwise apply professional standards issued by the Institute, and involved a finding of multiple breaches of audit and accounting standards by the firm in relation to the audit of certain financial statements of a listed company, for which Dr. Cheng acted as the engagement quality control reviewer. However, there was no allegation or finding of fraud or dishonesty made against Dr. Cheng or his firm.
Dr. Cheng remains on the board of directors of the Company (the "Board"). So far as the Board is aware, there is no other information concerning the circumstances above that needs to be brought to the attention of the holders of the Company's securities. Given the terms of the order, the absence of allegation or finding of fraud or dishonesty against Dr. Cheng, the Board considers that the order would not affect Dr. Cheng's ability to continue to discharge his duties as a non-executive director of the Company.
