Invitation to the Election of Board of Directors' Membership

The Board of Directors is pleased to inform the shareholders of the opening of nomination for the Board of Directors Membership during the period from Monday, 06th of June 2022 to Thursday, 16th June 2022. Any Person/ Shareholder who meets the conditions of nomination for the Board membership may nominate himself for the membership by an application to be submitted to the management of the Company at its Head Officer located in Dubai - Business Bay - Vision Tower, Phone: [phone], Email: [e-mail] application shall enclose an introductory profile of the applicant and the capacity of membership for which he wishes to nominate himself.

General Conditions:

• Total Board Members to be elected is Five Members.
• The door for nominations for the Board Membership shall remain opened for (10) days from the date of the announcement pursuant to the requirements in accordance with the Article (13) from Ministerial Resolution No. 539 of 2017 about the regulations for private joint stock companies.

• A candidate for the Board membership must satisfy the conditions set out in Federal Law No. (32) of 2021 concerning Commercial Companies, including Ministerial Resolution No. (585) of 2018 regarding the governance of private joint stock companies.
• Once the nomination period has ended, a candidate may not withdraw their nomination application in favor of another candidate.
• The company shall post the names of candidates and the information related to the nomination on the bulletin board in its main office and on its internet website (www.bhmuae.ae) on 17 June 2022.
• The Ministry of Economy shall be provided with a list of the candidates' names after closing the nomination.
