PRESS RELEASE BANCA POPOLARE DI MILANO: NOTICE OF PUBLICATION OF DOCUMENTS

Milan, 13 September 2016 - Further to the news release published on 12 September 2016 regarding the call of the Extraordinary Shareholders' Meeting to discuss the merger between Banco Popolare

• Società Cooperativa and Banca Popolare di Milano S.c. a r.l. (the "Merger"), we herewith inform you that, in compliance with current regulations, as of today the following documents are made available to the public at Borsa Italiana S.p.A., as well as on Banca Popolare di Milano website www.gruppobpm.it (Governance - Shareholders' Meeting 14/15 October 2016 section), and on the website of the authorized central storage mechanism www.emarketstorage.com:

• Merger Plan inclusive of the Articles of Association of the new company resulting from the Merger;

• Explanatory report, under art. 2501-quinquies, civil code, of Banca Popolare di Milano;

• Report on the adequacy of the share swap ratio under art. 2501-sexies, civil code, issued by the auditing firm Ernst & Young S.p.A.;

• Financial situation under art. 2501-quarter, paragraph 2, civil code, represented by Banca Popolare di Milano's financial statements at 31 December 2015;

Please note that the same documents listed above pertaining to Banco Popolare - Società Cooperativa shall be available, among other things, on the corporate website www.bancopopolare.it (Corporate Governance - Investor Relations section), as well as on the website of the authorized central storage mechanism www.emarketstorage.com.

Moreover, all documents required under art. 2501-septies of the civil code, including the financial statements of the last three years of the companies participating in the merger, will be available to the public at the Head office of BPM, in compliance with current regulations.

Finally, the prospective analysis of the qualitative and quantitative composition of the Board of Directors of the company resulting from the Merger, as indicated in the Merger Plan, is available on the corporate website of BPM www.gruppobpm.it (Governance - Shareholders' Meeting 14/15 October 2016 section).
