On February 14, 2022, Blucora, Inc. (the "Company") issued a press release
addressing the announcement by Engine Capital LP regarding its notice of
nomination of directors for election to the board of directors of the Company at
the 2022 annual meeting of stockholders (the "2022 Annual Meeting"). A copy of
the press release is filed as Exhibit 99.1 hereto and is incorporated herein by
reference.

The Company, its directors and certain of its executive officers are participants in the Company's solicitation of proxies from stockholders in connection with the 2022 Annual Meeting.
