Shanghai Asiaray entered into the Shenzhen Airport Asiaray Advertising Framework Agreement with Shenzhen Airport Asiaray, which took effect from 1 January 2020 and would expire on 31 December 2022. Due to the growth of business volume between the Group and Shenzhen Airport Asiaray, the amount of service fee payable by the Shenzhen Airport Asiaray is expected to increase significantly. The Company has been carefully monitoring the actual transaction amounts and estimated demand of the Group. Due to unanticipated increase in demand for advertising service, the Board expects that the annual caps for service fee payable by the Shenzhen Airport Asiaray Advertising Framework Agreement announced in the Previous Announcement will not be sufficient to meet the Group's requirements. Considering the contract amount payable by Shenzhen Airport Asiaray to the Group under the existing Shenzhen Implementation Agreements entered into between the Group and Shenzhen Airport Asiaray, the actual service fees paid by Shenzhen Airport Asiaray to the Group during the current financial year, the Group's current and anticipated future capacity and needs, the business development of Shenzhen Bao'an International Airport, particularly in Terminal 3, the projected increase in the operating media resources that the Group will receive; and the recent macroeconomic policies of the PRC government, Shenzhen Airport Asiaray's current and anticipated future capacity and needs, the Company considered an increase of the previous annual cap is needed in order to provide a more suitable estimate. It is proposed that RMB 12 million (equivalent to approximately HKD 13.9 million), RMB 14 million (equivalent to approximately HKD 16.2 million) and RMB 16 million (equivalent to approximately HKD 18.5 million) shall be the revised annual caps in respect of the service fees for advertising services payable by the Shenzhen Airport Asiaray to the Group, for each of the three financial years ended 31 December 2020, 2021 and 2022. Such revised annual caps were determined with reference to the amount of service fees paid since the effective date of the Shenzhen Airport Asiaray Advertising Framework Agreement and the anticipated future increase in the connected transactions between the Group and Shenzhen Airport Asiaray. As at the date of this announcement, the service fees paid by Shenzhen Airport Asiaray to the Group have not exceeded the original annual cap for the financial year ended 31 December 2020.
