On January 6, 2020, Apple Inc. filed a definitive proxy statement soliciting proxies and urged the shareholders to vote against the shareholder proposal of James McRitchie asking the board of directors to adopt, and present for shareholder approval, a “proxy access” bylaw and such a bylaw shall require the Company to include in proxy materials prepared for a shareholder meeting at which directors are to be elected the name, disclosure, and statement of any person nominated for election to the board by a shareholder or an unrestricted number of shareholders forming a group in the upcoming annual meeting of shareholders to be held on February 26, 2016.
