proposed acquisition of Alliance Oil Company by way of amalgamation

The information memorandum regarding Lambros Overseas S.A.'s and OJSC Alliance
Group's (together "Alliance Group") recommended proposed acquisition of
Alliance Oil Company Ltd ("Alliance Oil"), pursuant to which Alliance Group,
through its jointly owned subsidiary Alford Financial Ltd would acquire all of
the ordinary shares and all of the preference shares in Alliance Oil, each
represented by Swedish Depository Receipts, which are held by parties other
than Alliance Group and its affiliates, by way of amalgamation under Bermuda
law, has today been made public on Alliance Oil's website,
www.allianceoilco.com, and on Carnegie's website, www.carnegie.se.

The information memorandum is available at Alliance Oil, Clarendon House, 2
Church Street, Hamilton HM11, Bermuda and at Carnegie, Regeringsgatan 56, 103
