On January 16, 2018, Karen Singer announced that she is deeply concerned regarding the Alaska Communications Systems Group, Inc.’s adoption of that certain Section 382 Tax Benefits Preservation Plan (the Poison Pill) on January 8, 2018. Karen Singer stated that in her understanding that the Company's NOL position has not changed (or has changed immaterially) in the past three years and that it cannot be a coincidence that the Company would now adopt the Poison Pill, purportedly under the guise of preserving the Company’s NOLs, shortly after she expressed her view that the Company is being mismanaged and that significant changes at the Board and management level are warranted. Karen Singer added that the adoption of the Poison Pill appears clearly to constitute an attempt by the current Board and management to entrench themselves without regard to the interests of the Company’s stockholders.
