Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
           Standard; Transfer of Listing

On April 24, 2023, Achari Ventures Holdings Corp. I, a Delaware company (the "Company") received a letter from the Nasdaq Listing Qualifications department of the Nasdaq Stock Market LLC ("Nasdaq") indicating that the Company was not in compliance with Listing Rule 5250(c)(1), as a result of the Company's delay in filing its Form 10-K for the year ended December 31, 2022.

On April 25, 2023, the Company filed its Form 10-K for the year ended December 31, 2022 with the Securities and Exchange Commission.

On April 25, 2023, the Company received a written notification from Nasdaq indicating that the Company has regained compliance under Listing Rule 5250(c)(1), based on the April 25, 2023 filing of the Company's Form 10-K for the year ended December 31, 2022, and accordingly, this matter is now closed.
