DE CLARATION OF COMPLIANCE PURSUANT TO § 161 AKTG
Gemäß § 161 Abs. 1 Satz 1 AktG haben der Vor- stand und Aufsichtsrat der ABOUT YOU Holding SE mit Sitz in Hamburg ("ABOUT YOU") jährlich zu erklären, dass den vom Bundesministerium der Justiz im amtlichen Teil des Bundesanzei- gers bekannt gemachten Empfehlungen der "Regierungskommission Deutscher Corporate Governance Kodex" entsprochen wurde und wird oder welche Empfehlungen nicht ange- wendet wurden oder werden und warum nicht.
Pursuant to section 161 (1) sentence 1 of the German Stock Corporation Act (Aktiengesetz, AktG), the Management Board and the Supervisory Board of ABOUT YOU Holding AG with registered office in Hamburg ("ABOUT YOU"), must declare annually that the recommendations of the "Government Commission on the German Corporate Governance Code" published by the Federal Ministry of Justice in the official section of the Federal Gazette (Bundesanzeiger) have been and are being complied with, or which of the Code's recommendations have not been applied or are not being applied and the reasons therefor.
Vorstand und Aufsichtsrat von ABOUT YOU er- klären, dass ABOUT YOU den Empfehlungen der vom Bundesministerium der Justiz im amtli- chen Teil des Bundesanzeigers am 27. Juni 2022 bekannt gemachten Empfehlungen der "Regie- rungskommission Deutscher Corporate Governance Kodex" in der Fassung vom 28. April 2022 entsprochen hat und ihnen auch künftig ent- sprechen wird.
The Management Board and the Supervisory Board of ABOUT YOU declare that ABOUT YOU has complied and will continue to comply with the recommendations of the German Corporate Governance Code in its revised version dated April 28, 2022 and published in the Federal Gazette on June 27, 2022.
