This announcement is made pursuant to Rule 17.06A of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Stock Exchange") (the "Listing Rules").
The board of directors (the "Board") of Wai Chun Group Holdings Limited (the "Company") announces that on 15 January 2016, the Company offered to grant share options (the "Share Options") to an eligible employee and certain consultants (the "Grantees") of the Company, subject to the acceptance of the Grantees, to subscribe for up to a total of 1,069,558,120 ordinary shares of HK$0.01 each of the Company (the "Shares"), representing approximately 4.99% of all the Shares in issue as at the date of this announcement (being 21,391,162,483 Shares), under the share option scheme adopted by the Company on 25 September 2015. The Share Options granted are subject to the acceptance of the grantees.
Details of the Share Options are set out as follows:
Date of grant : 15 January 2016 (the "Date of Grant")
Exercise price of Share : HK$0.037 to subscribe for one Share, representing the highest
of (i) the closing price of HK$0.037 per Share as stated in the daily quotations sheet issued by the Stock Exchange on the Date of Grant; (ii) the average closing price of HK$0.0362 per Share as stated in the daily quotations sheets issued by the Stock Exchange for the five business days immediately preceding the Date of Grant; and (iii) the nominal value of a Share

: 1,069,558,120 (each Share Option granted shall entitle the holder thereof to subscribe for one Share)
