SUMMARIZED MINUTES OF THE MEETING OF THE FISCAL COUNCIL

HELD ON JANUARY 26, 2018

DATE, TIME AND PLACE: on January 26, 2018 at 1:00 p.m. in the Administrative Offices of the Company, located at Avenida Paulista 1938, 5th floor, room 501 in the city and state of São Paulo.

CHAIR: Tereza Cristina Grossi Togni.

QUORUM: all effective Fiscal Councilors with manifestations via e-mail.

RESOLUTIONS ADOPTED: the Councilors decided unanimously:

1)register in the minutes the resignations from their positions presented by the Fiscal Councilors Alexandre Barenco Ribeiro, effective member, and Dulcídio Lavoisier de Oliveira Peres, the respective alternate, elected with an annual term of office by the minority shareholders at the Annual General Meeting of April 13, 2017, pursuant to the letters filed with the Company and dated January 18 and 25, 2018, respectively, the said positions provisionally to remain vacant; and

2) recommend to the Board of Directors to include on the agenda of the Company's next

General Meeting, the filling of these vacancies on the Fiscal Council to the end of the annual term of office.

CONCLUSION: there being no further matters on the agenda and no members wishing to raise any further matters, the meeting was declared closed and these minutes were drafted, read, approved and signed by all.
