(Stock code: 00895) UPDATE ON PROPOSED ISSUE BY CONVERSION OF CAPITAL RESERVE AND DIVIDEND DISTRIBUTION

Reference is made to the announcement of Dongjiang Environmental Company Limited* (the "Company") dated 24 April 2014 and the circular of the Company dated 25 April 2014 (the "Circular"), both in relation to, among other things, proposed issue by conversion of capital reserve and dividend distribution. Reference is also made to the announcement of the Company dated 10 June 2014 in relation to, among other things, poll results of the annual general meeting and class meetings held on 10 June 2014. Capitalised terms used in this announcement shall have the same meaning as defined in the Circular unless the context otherwise requires.
The Board is pleased to announce that all conditions precedent in relation to the Proposed Issue have been fulfilled. H Shares certificates under the Proposed Issue are expected to be despatched on 25 June 2014 (Wednesday) to the holders of H Shares whose names appeared on the register of members of the Company on 24 June 2014 (Tuesday). Dealings in the 26,685,000 new H Shares are expected to commence on the Stock Exchange from 9:00 a.m. on 26 June 2014 (Thursday).
Cheques for the Dividend Distribution are expected to be despatched on 6 August 2014 (Wednesday).
