Audax Group, Inc. agreed to acquire Corsearch, Inc. from Wolters Kluwer N.V. (ENXTAM:WKL) for $140 million on October 23, 2017. Corsearch had revenues of €50 million ($52.8 million) in 2016. Completion of the transaction is subject to customary closing conditions. The transaction is expected to be completed prior to the end of 2017. It is expected that the transaction will be dilutive to Wolters Kluwer's adjusted earnings per share, which it shall mitigate by way of share buybacks. Evercore acted as financial advisor to Corsearch and Wolters Kluwer N.V. Allen & Overy served as the legal advisor to Wolters Kluwer on the sale. Corsearch becomes an independent company following closing. The new Corsearch will also see its headquarters move to a prime location in New York City's famous Times Square area. Post transaction, Tobias Hartmann, President and Chief Executive Officer of Corsearch will continue in its position along with Stephen Stolfi as Vice President of Global Sales & Strategic Partnerships, Guy Coene as Vice President of Information Technology, Brett Amdur as Vice President of Product Management & Marketing, Luc Pierlé as Global Head of Operations and Satoru Ogawa as Chief Financial Officer.
