Von Roll Hol­ding AG: 200th Annual Gene­ral Mee­ting held — all pro­po­sals of the Board of Direc­tors approved

As plan­ned, the 200th ordi­nary Gene­ral Mee­ting of Von Roll Hol­ding AG took place on April 19, 2023 at 10.30 a.m. at the SIX Con­ven­ti­on­Point in Zurich (Switz­er­land). All pro­po­sals pre­sen­ted by the Board of Direc­tors were appro­ved by a large majo­rity of the shareholders.

The arti­cles of incor­po­ra­tion, annual report, finan­cial state­ments and con­so­li­da­ted state­ments as well as the actions of the Board of Direc­tors and Group Manage­ment were appro­ved for the finan­cial year 2022.

Dr. Peter Kalant­zis, Ger­hard Bruck­meier, August Fran­çois von Finck and Dr. Chris­tian Hen­ner­kes were elec­ted to ano­t­her sta­tu­tory one-year term as Mem­bers of the Board of Direc­tors. August Fran­çois von Finck was reelec­ted for a one-year term as Mem­ber of the Remu­ne­ra­tion Com­mit­tee . Dr. Peter Kalant­zis was newly elec­ted to the Remu­ne­ra­tion Com­mit­tee for a one-year term. Gerd Amt­stät­ter and Guido Egli did not stand for re-elec­tion and step­ped down from the Board of Direc­tors and the Remu­ne­ra­tion Com­mit­tee. Dr. Peter Kalant­zis was con­fir­med as Chair­man of the Board of Direc­tors for a one-year term.

The pro­po­sal put for­ward by the Board of Direc­tors to reelect Deloitte AG as sta­tu­tory audi­tors for the fis­cal year 2023 and Dr. Wal­ter M. Mül­ler as inde­pen­dent proxy was confirmed.

Both the total amount of com­pen­sa­tion for the Board of Direc­tors until the ordi­nary Gene­ral Mee­ting 2024 and the total amount of com­pen­sa­tion for the Exe­cu­tive Board for fis­cal year 2024 were approved.
