Item 4.01. Changes in Registrant's Certifying Accountant.
(a) Dismissal of Previous Independent Registered Public Accounting Firm
On January 6, 2023, the Board of Directors, or the Board, of UAS Drone Corp., or
the Company, dismissed Halperin Ilanit CPA, or the Former Auditor, as the
Company's independent registered public accounting firm.
The audit reports of the Former Auditor on the Company's financial statements
for the fiscal years ended December 31, 2021 and 2020 contained no adverse
opinion or disclaimer of opinion and were not qualified or modified as to
uncertainty, audit scope or accounting principles, except that the report for
the fiscal year ended December 31, 2020 contained an explanatory paragraph
stating that there was substantial doubt about the Company's ability to continue
as a going concern.
During the fiscal years ended December 31, 2021 and 2020, there were (i) no
"disagreements" (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K
and the related instructions) between the Company and the Former Auditor on any
matter of accounting principles or practices, financial statement disclosure, or
auditing scope or procedure, which disagreements, if not resolved to the
satisfaction of the Former Auditor, would have caused the Former Auditor to make
reference to the subject matter of the disagreement in its reports on the
Company's financial statements and (ii) no "reportable events" (as that term is
defined in Item 304(a)(1)(v) of Regulation S-K and the related instructions).
The Company provided the Former Auditor with a copy of the disclosures it is
making in this Current Report on Form 8-K and requested that the Former Auditor
furnish the Company with a letter addressed to the Securities and Exchange
Commission stating whether it agrees with the statements made herein and, if
not, stating the respects in which it does not agree. A copy of the letter
provided by the Former Auditor, dated January 8, 2023, is filed as Exhibit 16.1
to this Current Report on Form 8-K.
(b) Appointment of New Independent Registered Public Accounting Firm
On January 6, 2023, the Board approved the engagement of Somekh Chaikin, a
member firm of KPMG International, or the New Auditor, as the Company's
independent registered public accounting firm, effective upon the effectiveness
of the dismissal of the Former Auditor. During the fiscal years ended December
31, 2022 and 2021, neither the Company, nor anyone on its behalf, consulted the
New Auditor regarding (i) the application of accounting principles to a
specified transaction, either completed or proposed, or the type of audit
opinion that might be rendered on the Company's financial statements, and no
written report or oral advice was provided to the Company by the New Auditor
that the New Auditor concluded was an important factor considered by the Company
in reaching a decision as to any accounting, auditing or financial reporting
issue or (ii) any matter that was the subject of a "disagreement" (as that term
is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions)
or a "reportable event" (as that term is defined in Item 304(a)(1)(v) of
Regulation S-K).
