Subject: Entering into Disputes Settlement Agreement with CAT Telecom Public Company Limited To: President of the Stock Exchange of Thailand

We, Total Access Communication Public Company Limited (the "Company"), would like to announce that the Board of Directors' Meeting of the Company No. 1/2019, held on 10 January 2019 has approved the Company to enter into the Disputes Settlement Agreement with CAT Telecom Public Company Limited ("CAT") to settle numbers of disputes that the Company and the company within the group have with CAT, which were arisen during the concession period that was longer than 27 years and recently concluded on 15 September 2018. In this regard, the Company and CAT have already signed such agreement on 10 January 2019. The settlement would take effect only if and when the Company has obtained the approval from the general meeting of shareholders of the Company. In this regard, the Company will present the details of Disputes Settlement Agreement for approval by its shareholders at the Annual General Meeting of Shareholders (2019), which will be held in due course.

The above Disputes Settlement Agreement does not have an effect to settle entire disputes between the Company and CAT, instead it has an effect to settle most of the disputes between the Company and CAT including the disputes that are pending in the litigation process, e.g. disputes between the Company and CAT regarding additional revenue sharing and dispute in relation to CAT's claim that the Company did not comply with Clause 14.8 (non-competition provision) of the concession agreement, and the disputes or claims related to the expired concession agreement that may be raised by CAT in the future. However, the disputes to be settled do not include the dispute over the revenue sharing concerning excise tax and the disputes over the revenue sharing with regards to interconnection charges.

The Company agrees to pay to CAT a consideration for settlement of these disputes in the total amount of Baht 9,510,246,120.62 (nine billion five hundred ten million two hundred forty-six thousand one hundred twenty Baht and sixty-two Satang). If the settlement is approved by the Company's general meeting of shareholders, the Company would make the first payment in the amount of Baht 6,840,246,120.62 (six billion eight hundred forty million two hundred forty-six thousand one hundred twenty Baht and sixty-two Satang) and would later make the rest payment once the relevant court cases are withdrawn from the court in accordance with the Disputes Settlement Agreement. The Company is of the view that such payment will have no material negative impact on its liquidity and financial position.

As mentioned above, the settlement of these disputes would take effect only if and when the Company has obtained the approval from the general meeting of its shareholders. The Company will present the details of the Disputes Settlement Agreement to the Annual General Meeting of Shareholders for the year 2019 to consider and approve. The Company will announce the date, time and venue of the Annual General Meeting of Shareholders for the year 2019 as well as the record date in due course.
