Resignation of Poonacha Machaiah

On May 2, Poonacha Machaiah resigned from his position as a member of the Board of Directors (the "Board") of The Healing Company Inc. (the "Company") effective immediately. Mr. Machaiah's resignation was not the result of any disagreement with the Company or the Board regarding the Company's financial or accounting policies or operations.
