Minutes of the Extraordinary Shareholders' Meeting held on April 14, 2022, drawn up in summary format.

Date, Time and Place: On April 14, 2022, at 10:00 a.m. at the Company's headquarters, located at Rua Beatriz Larragoiti Lucas 121, Cidade Nova, in the city and state of Rio de Janeiro.

Call: Call notice published in the newspaper "Valor Econômico", national section, and in the site of the newspaper "Valor Econômico", editions of March 14, 15 and 16, 2022, in accordance with the provisions of Articles 124 and 289 of Law 6,404/76.

Attendance: Shareholders representing 80% of the ordinary shares and 69.3% of the total share capital considering the remote ballot papers, according to the synoptic map published by the Company. Also present were: Patrick Antonio Claude de Larragoiti Lucas, chairman of the Board of Directors; Ricardo Bottas Dourado dos Santos, Chief Executive and Investor Relations Officer; and Reinaldo Amorim Lopes, Vice-President of Control, Risk and Compliance.

Disclosed Documents: All documents and information relating to the Agenda were disclosed to the shareholders on March 14, 2022, in accordance with CVM Instruction n. 481/2009.

Agenda:

I. Approve the Private Instrument of Protocol and Justification of the merger of Sul América S.A. into Rede D'Or São Luiz S.A. (Instrumento Particular de Protocolo e

Justificação de Incorporação da Sul América S.A. pela Rede D'Or São Luiz S.A.), herein after the "Protocol and Justification";

II.

Approve the merger of the Company into Rede D'Or São Luiz S.A. ("Rede D'Or"), subject to the conditions set forth in the Protocol and Justification; and,

III. Authorize the subscription, by its managers, of the new shares to be issued by Rede

D'Or at the time of the consummation of the merger.

Resolutions: The Board, primarily, clarified that, pursuant to article 7, paragraph 2, of the By-Laws and to item 4.1 (vi) of the B3 S.A. - Brasil, Bolsa, Balcão Leve 2 Listing Rules, the preferred shares will have the right to vote on the resolutions of this Meeting. Following, the reading of the synoptic map combining the distance voting, that was made available for consultation by the attending shareholders, in accordance to Article 21-W, paragraph four, of CVM Instruction 481/2009, was waived. The following resolutions were taken by the present shareholders:

I. Unanimously approved, in accordance with the Management's Proposal, the Private Protocol and Justification for the Merger of Sul América S.A. into Rede D'Or São Luiz S.A.

(Instrumento Particular de Protocolo e Justificação de Incorporação da Sul América S.A. pela

Rede D'Or São Luiz S.A.), herein after the "Protocol and Justification", that stablishes the general basis of the merger of the Company into Rede D'Or, pursuant to articles 224 and 225 of Law n. 6.404/76, that will result, after its consummation, in the extinction of the Company, that will be succeeded by Rede D'Or in all its assets, rights and obligations and which copy is an integral part of this minute as Schedule I.

II. Unanimously approved, in accordance with the Management's Proposal, the merger of the Company into Rede D'Or, subject to the conditions foreseen in the Protocol and Justification, it being stated that, (i) as per the Management's Proposal, the approved merger is subject to certain conditions stablished in the Protocol and Justification, including the approval by Rede D'Or Shareholders' Meeting and by the competent regulatory agencies, namely the Administrative Council for Economic Defense (CADE), the National Agency of Supplementary Health (ANS), the Superintendence of Private Insurance (SUSEP) and the Central Bank of Brazil (BCB); (ii) according to the established in the Protocol and Justification, the conditions precedent in favor of SulAmérica can be, at any time and at its own discretion, waived by the decision of its Board of Directors; (iii) the Company will in due course disclose to the shareholders the implementation (or waiver, whenever applicable) of the conditions precedent stated in the Protocol and Justification and the date of the conclusion of the merger; (iv) on the date of the execution of the Protocol and Justification, the exchange ratio by means of the merger corresponded to 0.25609783 ordinary share of Rede D'Or for each share of SulAmérica, whether common or preferred, (or, consequently, to 0.76829349 ordinary share of Rede D'Or for each Unit of SulAmérica. The exchange ratio may be adjusted in the cases expressly provided for under the Protocol and Justification; and (v) subject to the consummation of the merger, it will be guaranteed the right of withdrawal to the Company's shareholders that dissent from the resolutions of this Meeting, in relation to the shares held by them, irrespective of the type, uninterruptedly, fromFebruary 23, 2022, the date of disclosure of the notice of the material fact that announced the merger, to the date of exercise of such right, and which expressly pronounce on their wish to exercise the right of withdrawal, within thirty (30) days as from the date of publication of the minutes of this Meeting. The necessary procedures for the exercise of the right of withdrawal will be described at the Notice to the Shareholders to be disclosed by the Company.

III. Unanimously approved the subscription, by the managers, of new shares to be issued by Rede D'Or once the merger is completed, them being hereby authorized to perform all necessary acts to implement and realize the merger approved by this Meeting and other resolutions taken on this Meeting.

Adjournment: There being no further matters to address, the Chairman adjourned the meeting and these minutes were drawn up in the Company's records in summary format, pursuant to Article 130, Paragraph 1 of Law 6,404/76, and signed by the Board and the attending shareholders. The publication of these minutes will occur as authorized by the shareholders' meeting, pursuant to Article 130, Paragraph 2 of Law 6,404/76.
